Capital Expenditure Facility with an InvestEU Guarantee
The Capital Expenditure Facility with an InvestEU Guarantee Framework constitutes a specialised financial instrument designed to fund capital investments in tangible fixed assets as well as intangible assets and legal rights. The underlying credit facility is structurally secured by an InvestEU portfolio guarantee, the comprehensive underwriting costs of which are fully sustained by the Industrial Development Agency (Agencja Rozwoju Przemysłu S.A. / ARP S.A.).
This financing mechanism is specifically engineered to support small and medium-sized enterprises (SMEs) that experience restricted access to capital markets due to an absolute or temporary inability to establish conventional collateral sufficient to secure the amortisation of borrowed funds.
Credit facilities extended under this European Union scheme qualify for a repayment guarantee covering up to eighty percent of the aggregate principal volume, with all associated guarantee fees subsidised and borne exclusively by ARP S.A.
Foundational Parameters and Covenants
The permissible financing quantum shall range from a minimum of PLN 800,000 to a maximum threshold of PLN 8,593,600.
The maximum duration of the credit facility shall span up to fourteen years, provided that the formal amortisation period does not exceed a strict maturity constraint of twelve years.
The variable interest rate is structured upon the WIBOR 1M reference rate plus a commercial margin determined in strict accordance with the standardised pricing matrix utilised within the loan parameterisation system, subject to a concessionary reduction of 0.5 percentage points.
- An InvestEU portfolio guarantee covering up to fifty percent of the total facility volume, supplemented by a first-demand mortgage on real property or a registered pledge on tangible fixed assets up to sixty percent of the loan value.
- An InvestEU portfolio guarantee covering up to eighty percent of the total facility volume, supplemented by a first-demand mortgage on real property or a registered pledge on tangible fixed assets up to sixty percent of the loan value, restricted exclusively to commercial enterprises operating within Just Transition and Cohesion Regions.
- A formalised notarial declaration of submission to enforcement proceedings pursuant to Article 777 of the Polish Code of Civil Procedure (Kodeks postępowania cywilnego), alongside an irrevocable power of attorney over the borrower's designated banking accounts.
Participation is restricted to commercial enterprises generating gross annual revenues in excess of PLN 4 million, possessing two fully concluded fiscal years and maintaining comprehensive accounting records (pełna księgowość).
A structured moratorium on principal repayment is contractually provided for the explicit duration of the investment execution phase.
- Arrangement Fee: Assessed from a baseline of 0.2% of the facility volume;
- Application & Commitment Fees: Absolute waiver of fees regarding both formal application underwriting and any unutilised, undisbursed credit tranches;
Early Amortisation Premium: Reduced prepayment commission limited to a maximum of 0.2% of the principal volume being amortised; absolute waiver of prepayment penalties in scenarios where early repayment is executed utilising the borrower’s autonomous internal capital reserves;
The aggregate premium expenses derived from the InvestEU guarantee are sustained entirely by ARP S.A.
